Definitions
Buyer means the individual or organisation that buys or agrees to buy the Goods from the Seller.
Consumer shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977.
Contract means the contract between the Seller and the Buyer for the sale and purchase of Goods incorporating these Terms and Conditions.
Goods means the articles that the Buyer agrees to buy from the Seller.
Seller means Post Boxes Uk Ltd, 25, Anchor Road, Aldridge, WS9 8PU UK
Buyer means the individual or organisation buying from Post Boxes Uk Ltd
Terms and Conditions means the terms and conditions of sale set out in this agreement and any special terms and conditions agreed in writing by the Seller.
Conditions
Nothing in these Terms and Conditions shall affect the Buyer’s statutory rights as a Consumer.
These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer.
Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer’s acceptance of these Terms and Conditions.
Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller. Any complaints should be addressed to the Seller’s address at 25, Anchor Road, Aldridge, WS9 8PU UK
Ordering
All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller.
The Seller may choose not to accept an order for any reason.
Where the Goods ordered by the Buyer are not available from stock the Buyer shall be notified and given the option to either wait until the Goods are available from stock or cancel the order and receive a full refund within 30 days.
When making an order through the Website, the technical steps the Buyer needs to take to complete the order process are described in the Order Process Section.
When completing an online order for replacement keys, the client should ensure that the original lock has not been replaced. The client is ordering keys cut to code to suit the OEM lock, and not for the replacement lock, which will most probably have a different key reference.
When ordering keys online, if the delivery address for the replacement keys is the post box for which the keys are being ordered, Post Boxes UK will not under any circumstances be held responsible for the client not being able to retrieve replacement keys from their locked post box.
All first time orders: any first time instruction/order will be done on a pro forma basis and will be deemed to be valid only if pro forma payment is made within the quote validity period or as per the pro forma invoice due date. Pro forma payment received outside of quote validity or pro forma invoice validity will be subject to a new quotation.
Any instruction/order subject to pro forma terms will not be classified as a valid or accepted order , even in the event of a purchase order having been placed by a third party before said quote validity date. Receipt of pro forma payment as per the full invoice value (inclusive of VAT where applicable) constitutes an order being placed with ourselves.
Age of Consent
Where Goods may only be purchased by persons of a certain age the Buyer will be asked when placing an order to declare that they are of the appropriate legal age to purchase the Goods.
If the Seller discovers that the Buyer is not legally entitled to order certain Goods, the Seller shall be entitled to cancel the order immediately, without notice.
Price and Payment
The price of the Goods shall be that which is stipulated on the Website. The price is exclusive of VAT. The price for delivery charges is shown separately or for specialised delivery is calculated later by the seller.
The total purchase price, including VAT and delivery charges, if any, will be displayed in the Buyer’s shopping cart prior to confirming the order.
After the order is received the Seller shall confirm by email the details, description and price for the Goods together with information on the right to cancel Payment of the price plus VAT and delivery charges must be made in full before dispatch of the Goods.
We reserve the right to add late payment charges to any invoice which requires us to instruct a recovery service, should payment of an invoice not be received in good time.
Delivery
Goods supplied within the UK will normally be delivered within 5 to 7 working days of acceptance of order, except when engineer support is required.
Goods supplied outside the UK will normally be delivered depending on destination and will be notified by email.
Where specific delivery dates have been agreed, and where this delivery date cannot be met, the Buyer will be notified and given the opportunity to agree a new delivery date or receive a full refund.
The Seller shall use its reasonable endeavours to meet any date agreed for delivery. In any event time of delivery shall not be of the essence and the Seller shall not be liable for any losses, costs, damages or expenses incurred by the Buyer or any third party arising directly or indirectly out of any failure to meet any estimated delivery date.
Delivery of the Goods shall be made to the Buyer’s address specified in the order and the Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery. Delivery of replacement keys to a recipients post box is advised against: regardless of purchaser’s specific instructions, a delivery address should be accessible by the purchaser. Post Boxes UK cannot be held responsible for delivery to inaccessible post box/mailbox.
Title and risk in the Goods shall pass to the Buyer upon delivery of the Goods.
Delivery costs as per quotations are charged on the assumption that specialist vehicles, such as those which are FORS or CLOCS registered, will not be required. Any order accepted, which then requires a FORS or CLOCS registered vehicle advised retrospectively to any purchase order placed by the client, will be charged subject to carrier costs, any storage applicable, plus an administration charge of GBP 100.00 from Post Boxes UK. These costs will vary dependent upon shipping specification and vehicle availability amongst other things. This charge will payable on immediate pro forma basis before delivery is made.
Deliveries of post boxes by carriers or freight forwarders to a residential address will incur a surcharge of GBP 100.00 from Post Boxes UK, which will be payable before delivery. Post Boxes UK does not check residential address status when accepting an order, unless otherwise advised by client during negotiations or at quote stage.
Timed deliveries by carriers or freight forwarders as requested by our clients at time of booking in delivery direct with carriers or freight forwarders, will incur a surcharge of GBP 100.00 from Post Boxes UK, which will be payable before delivery. Quoted delivery charges assume delivery between normal business hours of 0800-1600 local, Monday to Friday, bank holidays excluded. Deliveries required outside of normal business hours will incur additional costs.
Rights of Seller
The Seller reserves the right to periodically update prices on the Website, which cannot be guaranteed for any period of time. The Seller shall make every effort to ensure prices are correct at the point at which the Buyer places an order.
The Seller reserves the right to withdraw any goods from the Website at any time.
The Seller shall not be liable to anyone for withdrawing any Goods from the Website or for refusing to process an order.
Warranty
The Seller warrants the goods for 30 days and warrants that the Goods will at the time of dispatch correspond to the description given by the Seller, except where the Buyer is dealing as a Consumer.
All other warranties, conditions, or terms relating to fitness for purpose, merchantability or condition of the Goods, whether implied by Statute, common law or otherwise are excluded, and the Buyer is satisfied as to the suitability of the Goods for the Buyer’s purpose.
Cancellation and Return
The Buyer shall inspect the Goods immediately upon receipt and shall notify the Seller within 2 working days of delivery confirming in writing if the Goods are damaged or do not comply with any of the Contract. If the Buyer fails to do so the Buyer shall be deemed to have accepted the Goods.
Where a claim of defect or damage is made the Seller shall be responsible for the recovery of the Goods from the Buyer. The Buyer shall be entitled to a full refund (including delivery costs) if the Goods are in fact defective.
The Buyer will be under a duty to take care of the Goods until they have been recovered. The Buyer will receive a refund of all monies paid for the Goods (including delivery charges, if any within 30 days.
Goods to be returned must clearly show the order number obtained from the Seller on the package.
Where returned Goods are found to be damaged due to the Buyer’s fault the Buyer will be liable for the cost of remedying such damage.
Limitation of Liability
Except as may be implied by law where the Buyer is dealing as a Consumer, in the event of any breach of these Terms and Conditions by the Seller the remedies of the Buyer shall be limited to damages which shall in no circumstances exceed the Price of the Goods and the Seller shall under no circumstances be liable for any indirect, incidental or consequential loss or damage whatever.
Nothing in these Terms and Conditions shall exclude or limit the liability of the Seller for death or personal injury resulting from the negligence of the Seller or that of the Seller’s agents or employees.
Waiver
No waiver by the Seller (whether express or implied) in enforcing any of its rights under this contract shall prejudice its rights to do so in the future.
Force Majeure
The Seller shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, failure of any communications, telecommunications or computer system, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the Seller shall be entitled to a reasonable extension of its obligations.
Severance
If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid illegal or unenforceable provision eliminated.
Changes to Terms and Conditions
The Seller shall be entitled to alter these Terms and Conditions at any time but this right shall not affect the existing Terms and Conditions accepted by the Buyer upon making a purchase.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
Samples
Upon client request, samples are supplied on a sale or return basis. Returned samples must be sent back to Post Boxes UK Ltd in A1 sale condition at the client’s cost. Damaged returns will be charged at a minimum fixed rate of £100.00 excluding VAT. Sample design and finish may differ slightly from final product due to available stock levels from our suppliers.
Brexit
In the event of the UK leaving the EU with or without a negotiated deal, Post Boxes UK Limited cannot be held responsible in any way whatsoever for delayed or failed delivery of goods.
Any quotation done before the UK’s leaving the EU with or without a deal will be considered as void, regardless of quotation validity date. We reserve the right to refuse any order placed on a previous quote done before Brexit date.
Any order accepted by Post Boxes UK before the UK’s potential departure from the EU, which is delayed as a result of goods being held up in transit as a result of Brexit, will be considered as circumstances beyond our control. Post Boxes UK will not accept responsibility for delayed delivery due to Brexit.
In the event of the UK leaving the EU without a trade deal on 1st January 2021, any order placed with Post Boxes UK and paid for on pro forma basis, before 1st January 2021, but not delivered until after 1st January 2021, will be subject to import, tariffs, and customs charges, at the appropriate rate for that classification of goods. Goods will not be released from customs until the client has paid all relevant charges to Post Boxes UK. Post Boxes UK will not be held responsible for delayed delivery of goods or incurring of storage and/or customs fees as a result.
COVID-19 (Coronavirus)
Post Boxes UK Limited cannot be held responsible in any way whatsoever for delayed or failed delivery of goods, as a result of any factory close down, transportation restriction, or any other regional restrictions enforced by local or international legal authorities, resulting from the spread of COVID-19 (Coronavirus).
Any order accepted by Post Boxes UK which is delayed as a result of COVID-19 (Coronavirus) restrictions (workplace or regional), will be considered circumstances beyond our control. Post Boxes UK will not accept responsibility for delayed delivery due to COVID-19 (Coronavirus).
Orders called off in advance of any site closure or nationwide lock down, which cannot be delivered as a result of site closure / national lock down whilst goods are in transit, will be subject to local storage charges at a daily rate of GBP 20.00 per pallet per day, or returned to factory, at client’s expense and will be chargeable by invoice.
Post Boxes UK Limited reserves the right to suspend or cancel production of an on-going order for delivery to a site which is closed down or affected by a national shut down. Post Boxes UK Limited reserves the right to not despatch goods, if called off by the client, which could be impacted by site closure due to UK lock down.
